Editorial coverage is not influenced by affiliate partnerships. We maintain editorial independence and clearly disclose affiliate relationships.

Sections 8, 9, 12, 13, 14, 16, 17, 18, 19, and 21 shall survive termination.

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Westchester County, New York.

18. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved as follows:

Informal Resolution: Before filing a claim, you agree to contact us at legal@brightsurf.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration: If the dispute cannot be resolved informally, you agree that it will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in Westchester County, New York or remotely via video conference. You and BrightSurf agree to submit to the personal jurisdiction of the arbitrator.

Exception: Either party may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BrightSurf regarding use of the site and supersede all prior agreements and understandings, whether written or oral.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of BrightSurf.

22. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

By using BrightSurf, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
